Please read these terms carefully before accessing our services or initiating OEM/ODM projects. These conditions govern the relationship between Kerui Electronics and our global wholesale partners.

01. Acceptance of Terms
By accessing this website, requesting quotes, or placing orders for products (including TWS earbuds, smart wearables, and home appliances) with Kerui Electronics ("we," "us," or "our"), you agree to be bound by these Terms of Service. These terms apply to all visitors, users, and international wholesale buyers ("Clients").
We reserve the right to update or modify these terms at any time without prior notice. Continued use of our manufacturing services following any changes constitutes acceptance of those changes.
02. Website Use & License
Permission is granted to temporarily download one copy of the materials (product catalogs, specification sheets, or software) on Kerui's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license you may not:
- Modify or copy the materials for competitive analysis;
- Use the materials for any commercial purpose, or for any public display (commercial or non-commercial) without express written consent;
- Attempt to decompile or reverse engineer any software or product designs contained on the website;
- Remove any copyright or other proprietary notations from the materials.
03. Intellectual Property Rights
Our IP
All content, trademarks, logos, original product ID designs, and images displayed on this site are the exclusive property of NextGen Electronics and are protected by international copyright laws.
Client IP (OEM/ODM)
We respect Client IP. Any logos, brand assets, specific mold designs, or technical specs provided by the Client for OEM/ODM production remain the sole property of the Client.
04. OEM/ODM Confidentiality
We understand the critical nature of confidentiality in B2B manufacturing. For all OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) projects, we commit to the following:

Strict Non-Disclosure We maintain strict confidentiality of all Client designs, molds, and technical data. Information involves internal access only on a strictly need-to-know basis.

Mold Exclusivity Custom molds paid for by the Client are exclusive to that Client. We will not use Client-owned molds for other customers or our own brand without explicit written permission.

Sample Protection Pre-production samples and prototypes are handled securely and will not be displayed in our public showrooms or online portfolios until the product has officially launched in the Client's market.
05. Limitation of Liability
In no event shall Kerui Electronics or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on our website or delays in production caused by force majeure events.
While we strive for perfection in manufacturing, our liability for defective products is limited to the repair, replacement, or refund of the specific defective units as per our Warranty Policy, and does not extend to consequential damages or lost market opportunities.
06. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction where our factory is registered. Any disputes relating to these terms or OEM/ODM contracts shall be subject to the exclusive jurisdiction of the courts in that location.
